If you do not agree to these Terms, you must immediately cease using the Site.

These Terms constitute a legally binding agreement between you and Kissinger Advisors ("Company," "we," "our," or "us"), a government contracting agency. We reserve the right to modify these Terms at any time. Continued use of the Site following the posting of changes constitutes your acceptance of such changes. We will update the Effective Date above when changes are made.

2. DESCRIPTION OF THE SITE AND SERVICES

The Site is a marketing, informational, and educational platform operated by Kissinger Advisors. The Site is designed to:

• Provide information about our government contracting capabilities, contract vehicles, and past performance

• Publish educational content, industry news, analysis, and commentary related to government contracting, procurement policy, federal regulations, and related topics

• Enable prospective clients, teaming partners, and other interested parties to contact us and submit inquiries

• Support lead generation activities in connection with our business development efforts

The Site does not constitute a government information system, a government contractor system of record, or a platform for the submission of official government procurement materials. Nothing on the Site creates a contractual obligation between you and any government agency.

3. ELIGIBILITY AND ACCESS

The Site publishes articles, analyses, commentary, and news related to government contracting and federal procurement. With respect to all such content:

• Content is provided for general informational and educational purposes only and does not constitute legal, regulatory, financial, or professional advice

• Content reflects the views of our analysts and contributors and should not be attributed to any government agency or contracting officer

• Government contracting regulations, FAR/DFARS provisions, and agency policies change frequently — we do not guarantee that our content reflects the most current rules or guidance

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KISSINGER ADVISORS EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT

• WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE

• WARRANTIES AS TO THE ACCURACY, COMPLETENESS, CURRENCY, OR RELIABILITY OF ANY CONTENT

• Your access to or use of (or inability to access or use) the Site

• Any content or information obtained from the Site

• Unauthorized access to or alteration of your transmissions or data

• Any other matter relating to the Site

IN NO EVENT SHALL KISSINGER ADVISORS'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED ONE HUNDRED DOLLARS ($100.00). THE LIMITATIONS IN THIS SECTION APPLY WHETHER THE LIABILITY IS BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

11. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Kissinger Advisors, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Site or any content obtained from it

• Your violation of these Terms

• Your violation of any third-party rights, including intellectual property rights or privacy rights

12. GOVERNING LAW, DISPUTE RESOLUTION, AND JURISDICTION

12.1 Governing Law

These Terms and any dispute arising out of or related to the Site shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles, and where applicable, the federal laws of the United States.

12.2 Dispute Resolution

Before initiating any formal legal proceeding, you agree to contact us in writing at the address in Section 13 and provide us with a reasonable opportunity (not less than 30 days) to resolve the dispute informally. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

12.3 Jurisdiction and Venue

Subject to the above, you consent to the exclusive jurisdiction and venue of the federal and state courts located in Hillsborough County, Florida for the resolution of any dispute not resolved informally. You waive any objection to such jurisdiction and venue.

12.4 Waiver of Class Action

TO THE EXTENT PERMITTED BY LAW, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST US WITH RESPECT TO ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE.

13. GENERAL PROVISIONS

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us with respect to the Site and supersede all prior agreements, representations, and understandings.

13.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

13.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of the Company.

13.4 Assignment

You may not assign or transfer any rights or obligations under these Terms without our prior written consent. Kissinger Advisors may freely assign its rights and obligations under these Terms, including in connection with a merger, acquisition, or sale of assets, without notice to you.

13.5 Force Majeure

We shall not be liable for any delay or failure in performance resulting from causes beyond our reasonable control, including acts of God, government orders, pandemics, cyberattacks, or failures of third-party service providers.

13.6 Government Use

If you are accessing the Site on behalf of a U.S. government agency or as a government contractor, your use is subject to applicable government regulations and these Terms to the extent consistent with applicable law.
